SUBSCRIPTION TERMS
This Subscription Agreement (the "Agreement") is made between the person or entity completing this form (on the Internet web site www.ArbJournal.com (the "ArbJournal WebSite")) and ArbJournal, L.L.C., a Virginia limited liability company ("ArbJournal"). This Agreement takes effect the day on which ArbJournal activates the Subscriber's password (except in the case of a free one-week trial subscription).
1. This Agreement is subject to Subscriber's payment in full of the Subscription Fee. ArbJournal shall send an invoice for such Subscription Fee, and Subscriber shall pay such invoice in full within thirty (30) days of the date of such invoice. ArbJournal may terminate this Agreement and deny access to the ArbJournal WebSite in the event of deficient payment or nonpayment.
2. As of the Subscription Date and for the Subscription Term specified in the Subscription Form, Subscriber is authorized and licensed to access the ArbJournal WebSite and the information thereon solely for its own internal use and benefit. Subscriber may designate up to five (5) of its employees to access the ArbJournal WebSite, each of which shall have his/her own assigned passwords ("Authorized Users"). Authorized Users may not reproduce (in whole or in part), modify, disseminate, or display information from the ArbJournal WebSite to any others. ArbJournal reserves all rights not expressly licensed. Any reproduction, distribution or unauthorized use of information on the ArbJournal WebSite not authorized by this Agreement is strictly prohibited. Subscriber agrees not to take any action that would interfere with the operation of the ArbJournal WebSite, and not to attempt to access or download its contents without authorization.
3. Subscriber acknowledges and agrees that ArbJournal owns all rights, title and interest in the ArbJournal WebSite and its contents, including all proprietary and intellectual rights. Access to the ArbJournal WebSite is licensed on a confidential basis, and the contents of the ArbJournal WebSite are copyrighted and trade secret subject matter owned exclusively by ArbJournal. Subscriber agrees to keep all information contained in and provided by the ArbJournal WebSite confidential, including without limitation, Subscriber's and Authorized Users' passwords.
4. Subscriber agrees to the terms and conditions contained in the Legal Disclaimers and Privacy Policy posted on the ArbJournal WebSite, which terms and conditions are incorporated by reference. The terms of the this Agreement may change from time to time, and any such changes shall be posted in the Legal Disclaimers or Privacy Policy sections of the ArbJournal WebSite.
5. THE SUBSCRIBER UNDERSTANDS AND AGREES THAT THE ARBJOURNAL WEBSITE IS PROVIDED TO THE SUBSCRIBER ON AN "AS IS" AND "AS AVAILABLE" BASIS. ARBJOURNAL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND. ARBJOURNAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF NONINFRINGEMENT, NONINTERFERENCE, ACCURACY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. ARBJOURNAL MAKES NO REPRESENTATIONS OR WARRANTIES AS TO ANY RESULTS TO BE OBTAINED FROM USE OF THE ARBJOURNAL WEBSITE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. OR THAT THE INFORMATION CONTAINED IN THE ARBJOURNAL WEBSITE WILL BE COMPLETE OR ACCURATE.
